TERMS OF SERVICE FOR USER’S REGISTRATION ON CHURCHERA

Effective Date:1st April, 2026

Introduction

This Terms of Service (“Terms”) governs your access to and use of Churchera, a digital platform operated by Churchera Innovation Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria. Churchera provides a technology platform that facilitates organized church giving, donation processing, and related services through licensed third-party payment service providers. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, you must not use our services.

PLEASE ENSURE THAT YOU HAVE READ AND FULLY UNDERSTOOD THESE TERMS OF SERVICE BEFORE REGISTERING ON CHURCHERA OR USING CHURCHERA’S SERVICES. WE STRONGLY RECOMMEND THAT YOU CONSULT YOUR LEGAL PERSONNEL OR REPRESENTATIVES FOR PROPER UNDERSTANDING.

1. Definitions

1.1 The term “Churchera”, “Company”, “us”, “we”, or “our” refers to Churchera Innovation Limited - a Private Limited Liability Company incorporated and registered with the Corporate Affairs Commission (CAC) under the laws of the Federal Republic of Nigeria; with registration number RC9227676 and registered address at 2 D. C. Chukwu Lane, Enugu State, Nigeria. It includes Churchera’s affiliated services or corporate partners where Churchera Innovation Limited does not directly provide the services.

1.2 “User”, “Giver”, “Member”, “Donor”, or "Customer" refers to eligible person or entity using Churchera to transact, make, or receive payment. The User must agree to these Terms of Service to use Churchera's services. For reference, “You” may be used in some sentences or phrases to refer to the same person or entity described herein.

1.3 "Services" refers to services provided or facilitated by Churchera or our partners.

1.4 "Account" refers to a User's registered account on Churchera, which is required to access and use our services.

1.5 “Payment Service Provider” refers to duly licensed third-party financial service providers regulated by the Central Bank of Nigeria (CBN) that facilitate payment processing on the platform.

1.6 “Payment” refers to any form of legitimate transaction carried out on our platform.

2. User Agreement

2.1 Acceptance of Terms: By using our services, you agree to be bound by these Terms of Service. This means that you acknowledge that you have read, understood, and agreed to be governed by these Terms of Service.

2.2 Age Requirement: You must be at least 18 years old and possess the legal capacity to enter into a binding contract under the laws of the Federal Republic of Nigeria. By using our services, you represent and warrant that you meet these requirements.

2.3 Transaction Delays: We will strive to process all transactions promptly and efficiently. However, by using our platform, you acknowledge and agree that transaction processing times may vary and are subject to factors beyond Churchera’s direct control, including but not limited to network issues, payment processor delays, banking system interruptions, regulatory checks, and technical maintenance. Churchera does not guarantee real-time processing of any transaction. Delays may occur before funds are reflected in your wallet, transferred to a church, or settled into a designated account. Users are advised to allow adequate processing time and to contact support if a transaction appears to be significantly delayed beyond normal expectations. Churchera shall not be liable for delays caused by third-party financial institutions, provided that reasonable efforts have been made to facilitate the transaction.

2.4 Payment for Services: By accessing or using Churchera, you agree to pay all applicable fees associated with the services provided on the platform. Such fees may include, but are not limited to, service enablement fees, transaction processing fees, wallet funding charges, withdrawal fees, or any other service-related charges as may be communicated from time to time. You authorize Churchera to deduct all applicable fees directly from your wallet, payment method, or transaction amount at the point of processing. Fees paid are generally non-refundable except where required by applicable law or expressly stated otherwise. Nothing in this clause limits any statutory rights available to users under Nigerian law. We reserve the right to modify our fees at any time. Any changes to applicable fees will be communicated through the platform or other appropriate channels, and continued use of our services after such notification constitutes your acceptance of the updated fees. Failure to pay applicable fees may result in suspension or termination of your access to certain features or the entire platform.

2.5 Service Satisfaction: Churchera provides its services on an “as is” and “as available” basis. While we strive to maintain a reliable and efficient platform, we do not guarantee uninterrupted or error-free operation. Nothing in this clause excludes liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

3. User Responsibilities

3.1 Safety and Safety Awareness: Users are responsible for staying informed about Churchera’s safety practices, security guidelines, and updates as may be communicated from time to time through the platform, website, or official communication channels. By using Churchera, you acknowledge and agree to exercise reasonable care in safeguarding your account credentials, personal information, and transaction activities. Users must promptly review any updates to safety practices and comply with all recommended security measures. Churchera shall not be liable for any loss, damage, or unauthorized access resulting from a user’s failure to adhere to communicated safety guidelines, including but not limited to negligence in protecting login credentials or failure to act on security notifications. Users are encouraged to immediately report any suspicious activity, unauthorized transactions, or potential security breaches to Churchera through its official support channels.

3.2 Seek Support: Users are encouraged to report any issues, complaints, or disputes as soon as reasonably possible. Churchera will review all complaints submitted within a reasonable timeframe, subject to the nature of the issue and applicable laws.

4. Our Responsibilities

4.1 Service Provision: Subject to eligibility, we will provide you with access to our services. This includes providing a user-friendly interface and necessary tools to manage your activities on our platform. To the extent permitted by applicable law, Churchera disclaims all implied warranties, except those that cannot be lawfully excluded.

4.2 Support: We will respond to inquiries and issues promptly. This includes providing customer support and resolving any issues that may arise during your use of our services within 72 working hours, except where such issue requires extra time to be resolved.

4.3 Maintenance: We will maintain a secure and functional platform. This includes ensuring that our technology is up-to-date and secure, and our services are available and accessible to you. To the extent permitted by applicable law, Churchera disclaims all implied warranties, except those that cannot be lawfully excluded.

5. Transaction Terms

5.1 Refund and Reversal Policy: All transactions made through Churchera are considered final once successfully processed. However, refunds or reversals may be permitted in limited circumstances, including but not limited to duplicate transactions, unauthorized transactions (subject to investigation), or technical errors attributable to the platform. Refunds will only be processed after a thorough review and verification by Churchera. Approved refunds will be returned to the original payment source or credited to the user’s wallet, at Churchera’s discretion. Churchera reserves the right to decline refund or reversal request where the transaction was authorized by the user, funds have already been successfully transferred to the intended recipient, and/or the request falls outside any specified review or reporting period. Users must report any disputed transaction within a reasonable timeframe as provided in these Terms of Service. Churchera facilitates transactions between users and recipients through third-party payment providers. While the primary responsibility for refunds rests with the recipient where funds have been successfully transferred, Churchera may, at its discretion, assist in facilitating dispute resolution. Nothing in this clause excludes any rights or remedies available to users under applicable law.

5.2 Failed Transaction: A transaction is deemed failed where funds are not successfully processed, transferred, or settled to the intended recipient. In the event of a failed transaction, any debited funds will be reversed to the user’s wallet or original payment source within a reasonable timeframe, subject to processing timelines of third-party providers. Churchera will make reasonable efforts to notify users of the failure where applicable. You acknowledge that delays in reversals may occur due to payment processor, banking systems, or network-related issues. Churchera shall not be held liable for any indirect or consequential losses arising from failed transactions, provided reasonable steps have been taken to resolve the issue. If a failed transaction persists beyond the expected timeframe, users are encouraged to contact Churchera support for assistance. Where funds are not successfully delivered, users will not bear financial loss, subject to verification and reconciliation processes.

5.3 Wallet Funding and Transfers: Users may fund their Churchera wallet using the available payment methods provided on the platform. By funding a wallet, you confirm that you are authorized to use the selected payment method. All wallet funding transactions are subject to verification, regulatory checks, and approval by third-party payment providers. Churchera reserves the right to delay, suspend, or reject any funding transaction where necessary for security, compliance, or operational reasons. Transfers from the Churchera wallet may be initiated to designated accounts, subject to minimum and maximum transfer limits, applicable fees, verification and security checks. Churchera does not guarantee instant Transfers. Processing times may vary depending on banking systems and third-party providers. Churchera reserves the right to temporarily withhold or restrict transfers where there is suspicion of fraud, money laundering, misuse of the platform, or violation of these Terms. You are responsible for ensuring that all transfer details provided are accurate. Churchera shall not be liable for losses arising from incorrect or incomplete information provided by the user. All wallet and payment services are provided in partnership with licensed payment service providers. Churchera does not operate as a bank or financial institution.

6. Termination

6.1 Termination by Churchera: Churchera may suspend or terminate access where a user breaches these Terms, engages in unlawful activity, or where required by law or regulatory authorities. Where practicable, reasonable notice will be provided, except in cases involving fraud, security risk, or legal obligation. In such cases, Churchera may also suspend or withhold transactions, freeze wallet balances pending investigation, and take any necessary action to protect the platform and its users.

6.2 Termination by User: You may terminate your use of Churchera at any time by discontinuing use of the platform and/or requesting account closure through the designated support channels. Upon termination by the user, any pending transactions may be completed or cancelled in accordance with applicable policies; User may be required to withdraw any remaining wallet balance, subject to verification and compliance checks; and certain obligations, including those relating to prior transactions, liabilities, or disputes, shall survive termination.

6.3 Effect of Termination: Upon termination for any reason, the user’s right to access and use Churchera will immediately cease; Churchera shall not be liable for any loss or losses arising from such termination, except as required by law; and any provision which by their nature should survive termination shall remain in effect.

7. Intellectual Property Rights

All contents, materials, and technology available on Churchera – including but not limited to texts, graphics, logos, designs, software, user interfaces, trademarks, and proprietary systems are the exclusive property of Churchera or its licensors and are protected by applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the platform solely for its intended purpose. This license does not grant any ownership rights in any part of the platform or its content. Users agree not to Copy, reproduce, modify, distribute, or create derivative works from any part of the platform without prior written consent; reverse engineer, decompile, or attempt to extract the source code of the platform; use Churchera’s name, logo, or branding for any unauthorized purpose; or infringe upon any intellectual property rights associated with the platform. Any feedback, suggestions, or ideas submitted by users regarding Churchera may be used by Churchera without restriction or obligation to compensate the user. All rights not expressly granted to users are reserved by Churchera.

8. General Provisions

Downtime: Churchera is an “as is” or “as available” service platform. This means that while we take proactive steps to ensure its functionality and 24/7 accessibility, there could be downtimes. During downtime, certain functionalities may not be working effectively and sometimes there may be incidental restriction of access and termination of process and flow of activities on the platform. By registering on Churchera, you agree that we shall not be liable for service interruptions except where such interruption is caused by our proven negligence or willful misconduct.

8.1 Pricing

We offer a simple, seamless, transparent and fair pricing, subject to our review, changes, and updates at any time. We may notify you once there is any material update. We encourage you to stay updated with our pricing to understand how we serve you. You can always visit www.churchera.com/pricing for updates or contact us directly.

8.2 Community Policy

At Churchera, we implement a high-standard community policy, rules and regulations for a healthy community membership of our audience. You agree to keep to our community policies including but not limited to fundamental human rights, respect for one’s belief and opinion, inclusion, healthy and professional relationship. This includes refraining from harassment, abuse, insult, or other forms of misconduct. You accept to be held accountable and responsible for your actions or inactions that may result in threat, or depriving others of their happiness, right to privacy, or material possession.

8.3 Fees and Charges

By registering on Churchera, you agree to pay all applicable fees for using our services including service charge, fine, commission, subscription fees and other applicable charges.

8.4 Tipping

You may tip us completely at your discretion, provided such tipping is not for the purpose or with the intent to boycott regulatory compliance, compromise our standards, practices and services. You agree that tipping is a non-refundable support you willingly give to Churchera.

8.5 Account Suspension

We may suspend your account at any time we deem necessary in event of your violation of our Terms of Service. You also agree that your account may incidentally be suspended or terminated without cause. You agree to hold us harmless where your account is suspended or terminated by mistake or in error.

8.6 Issue Management

To ensure that issues are resolved efficiently and effectively, minimizing downtime and ensuring customer satisfaction, issues shall be handled promptly and professionally. The escalation procedure for issues that arise during your use of our services shall include: Identifying the issue; Notifying the relevant stakeholders; Providing detailed information about the issue; Escalating to higher level support or management, if necessary; and Resolving the issue and documenting the process and outcome. Issues shall be resolved within a reasonable timeframe, not exceeding 72 hours, except when clearly the issue requires more time.

8.7 Limitation of Liability

Nothing in this Agreement excludes or limits liability for fraud, gross negligence, or any liability which cannot be excluded under applicable Nigerian law. To the extent permitted by applicable law, you accept that we are not liable for any loss or damage you suffer from your use of our platform or services. You agree to use our services ENTIRELY at your own risk. You agree that we will not be liable for any direct, indirect, incidental, punitive, consequential, special, or exemplary damages, or any damages whatsoever, including but not limited to those resulting from loss of money, loss of data, loss of goodwill, service interruption, or other intangible losses, arising out of or related to your use or inability to use our services, whether or not we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory under which the claim arises, whether based on warranty, tort, contract, statute, or otherwise. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for damages. In such cases, the limitations and exclusions stated herein will apply to the maximum extent permitted by applicable law. To the extent permitted by law, Churchera’s total liability shall not exceed the total fees paid by the user or the value of the transaction giving rise to the claim, whichever is lower.

8.8 Wrong Account Information

With no warranty, we will provide you with reasonable support to ensure you do not experience any loss due to wrong account details. However, you agree that we are not responsible for any loss you suffer due to wrong account information. Churchera will provide reasonable assistance where possible but does not guarantee recovery of funds sent to incorrect account details. To prevent likely situation, most especially as a church, we encourage you to double-check and be sure you have full and “sole” control of your account and we encourage the use of ONLY LICENSED FINANCIAL INSTITUTIONS for ease of fund tracking and recovery in the event of such.

8.9 No Financial Advice

Churchera does not provide financial, investment, legal, or charitable giving advice. No information obtained from our websites, mobile app, social media pages, or notifications by email, push, or in-app shall imply financial advice. The Platform is designed solely to facilitate processing of funds and voluntary giving between users and their chosen churches. We encourage you to seek the advice of your Financial Consultant, Accountant, or Finance Manager before making any financial decision. Churchera does not recommend, guide, or advise users on how much to give, who to give, when to give, or how to manage, transact, and spend their funds. All giving or financial decisions are made independently and at the sole discretion of the user. Churchera operates solely as a technology platform and does not provide regulated financial advisory services.

8.10 No Custody of Funds and Refund Responsibility

Churchera does not act as a custodian or trustee of funds on behalf of churches. Funds given through the platform are processed directly to the designated church, and Churchera does not hold or retain such funds for or on behalf of any church. Accordingly, any request for refunds, reversals, or disputes relating to donations or giving must be directed to the respective church that received the funds, provided that the funds were processed successfully. We shall not be responsible for processing or issuing refunds and bears no liability in connection with such requests. Churchera does not account for how churches use or manage the funds received through our platform. At no time does Churchera take ownership, custody, or control of user funds.

8.11 Multiple Accounts

The ownership of multiple accounts by a User is strictly prohibited. Where multiple accounts are necessary, you represent and warrant that the accounts are created for the purposes of efficiency and not for misrepresentation, manipulation, or to perpetuate illegal activities. This is to ensure the effectiveness of our services, free flow of our database, elimination of data redundancy, and prevention of fraud. You agree that multiple accounts ownership (whether with the same or different account information but owned and operated by the same User), outside the provision stated herein, is a breach of our Terms of Service.

8.12 Undue Transaction

Situations may happen where undue transaction is made to you, either in error, by mistake, oversight, or system malfunctioning. Users must notify Churchera upon becoming aware of such transaction and cooperate in resolving the issue within a reasonable timeframe. You agree that should we detect such transaction on your dashboard or wallet balance, we reserve the right to carry out a reversal by deducting the amount involved from your balance. In such situation, you have the right to contact us for explanation.

8.13 Account Security

You agree that the security of your account is your responsibility. You shall not hold Churchera accountable for any illegal or unauthorized access to your account or transactions and activities performed on your behalf. You agree to safe guard your account and follow the security tips we will be giving from time to time. We will never call you to request for your login details, or account information.

8.14 Inimical Activities, Actions, Behaviours, or Conduct

By registering on Churchera, you agree to not engage in online, offline, or physical activities, actions, behaviours, and conducts that aim at damaging our reputation, public perception, or could mean a threat to the image and reputation of Churchera, its staff, associates, affiliates, partners, and customers including but not limited to malicious, false, or defamatory conduct. With the exception of fair public discourse or whistleblowing, you are not to blog, give media briefing, cast news, address the press and grant interviews about us, our services, and operations on our behalf without written permission. You agree that you are liable for any action and activity we consider inimical to the image and reputation of Churchera. You further agree to indemnify us of any loss or damage we suffer directly or indirectly as a result of the consequential effect of your false, malicious, or defamatory conducts, actions and activities. Contact us directly should you have any concerns as regarding us, our employees, affiliates, partners, or our services.

8.15 Warranty Disclaimer and Information Security

Churchera will make every effort to keep the mobile app and website accessible and functioning smoothly at all times and free from bugs. However, you understand that using our services is ENTIRELY at your own risk. All our services are provided "as is" or “as available”, with no express or implied warranties of any kind. We specifically disclaim all warranties and conditions, including but not limited to implied warranties of availability, security, ownership, and non-infringement of intellectual property rights. Your use of our services is at your own risk and you will be responsible for any damage that results in loss of data or damage to your computer system. No advice or information, whether oral or written obtained by you from our platform or services will create any warranty or condition not expressly mentioned. You are responsible for setting up your technology, system, software, and platform to access our Services. Make sure you have appropriate virus protection in place, as we do not guarantee that our Services will be free from viruses or bugs. You must not try to gain unauthorized access to our Service, system, or database. Additionally, you are prohibited from misusing our Services by introducing trojans, viruses, or other malicious or harmful technologies. You must not hack or attempt to hack our system or platform.

8.16 New version, Update, and Improvement

We understand that you may not be satisfied with our current level and standard of service. To give you the best experience and generally meet the trends in our industry, we may from time to time, with or without your notice, bring new versions of our platform, update our services, and improve our customer experience and business model. These actions may affect you positively or negatively at some points. You agree to hold us harmless and free from all claims for losses that are not the result of our gross negligence or willful misconduct. You agree to always have our latest updates. Your continued use of our services after any update constitutes your agreement and acceptance.

8.17 Who is Eligible to Use Our Services?

You may only be eligible to use our services if you agree to form a binding contract with Churchera Innovation Limited and you are not prohibited from receiving our services under the laws of the applicable jurisdiction. By registering on Churchera, you represent and warrant that you meet these eligibility requirements. If you accept these Terms of Service on behalf of a person, company, business, or organization, you further represent and warrant that such entity legally exists and is operating under the laws of the applicable jurisdiction and that you have the authority to bind the entity to these Terms of Service and that the entity accepts these Terms of Service in full.

8.18 Indemnification

You hereby indemnify us and undertake to keep Churchera, its staff, employees, partners, and affiliates indemnified against all losses, damages, costs, liabilities and expenses (including without limitation, reasonable legal fees and expenses) arising out of any breach by you of any of the provisions of these Terms of Service or arising out of any claim that you have breached any of the provisions of these Terms of Service. You indemnify us against any claim, suit, or proceedings brought against Churchera arising from your use of our services or in connection with your violations of intellectual property rights or other rights of third parties.

8.19 Breach of these Terms of Service

Without prejudice to Churchera's other rights under these Terms of Service, if you breach these Terms of Service in any way, we may take such legal action as we deem appropriate to deal with the breach, including suspending your account, prohibiting you from accessing the platform, blocking computers using your IP address from accessing our platform, contacting your internet service provider and requesting that your access to our platform be blocked, and/or bringing court proceedings against you.

8.20 Cookie Policy

Churchera uses cookies to identify you as a customer and to customize your experience and improve our services. A cookie is a small data file transferred to your computer or mobile device when you visit or use a web or digital platform. It enables us to remember your account sign-in information, IP addresses, web traffic, number of times you visit, your preferences, date and time of visits. You can manage your cookie preferences (opt-in or opt-out) on our platform. Some browsers may automatically accept cookies, while some can be modified to decline cookies or alert you when a website wants to place a cookie on your computer. If you do choose to disable cookies, it may limit your ability to use our platform. By registering on Churchera, you agree to our Cookie Policy.

8.21 Privacy Policy and Data Protection

We recognize the importance of protecting the privacy of those who use our platform and services. We remain compliant with the requirements of the Nigeria Data Protection Act 2023 for our Nigerian Users, and the General Data Protect Regulation (GDPR) for our non-Nigerian Users, if and when applicable. Please note that such requirements may be amended from time to time. We maintain a privacy policy which provides an overview of the Personal Information we collect about you or that you provide to us. Please refer to our Privacy Policy at www.churchera.com/privacy to understand how we manage your data. Users have the right to request access, correction, or deletion of their personal data in accordance with the Nigeria Data Protection Act 2023. Request may be directed to the Nigeria Data Protection Commission (NDPC). By using our Services, you agree to our Privacy Policy.

8.22 Know Your Customer (KYC)

For authentic business practices and regulatory compliance, we require a mandatory Know-Your-Customer (KYC) verification process to verify your identity, business, or the entity you represent. During this process, we will request sensitive information and essential documents from you. You represent and warrant that the information and documents you provide are correct, valid, and authentic. You agree that giving false or misleading information about yourself, impersonation, or presenting fake, forged, expired, or invalid documents may constitute an offense under applicable Nigerian laws and you alone will suffer the consequences. You further agree to indemnify us against any loss or damage caused as a result of inaccurate information, invalid, or fraudulent documents provided by you.

8.23 Loyalty Program

Subject to our terms and review, we may from time to time offer a conditional loyalty program, including referral bonus, discount, commission, or reward to encourage customer loyalty and patronage. You agree that it is within our sole discretion to determine the condition or conditions to becoming a beneficiary of our loyalty program. You also agree that we reserve the right to withdraw or terminate loyalty program at any time, or to reverse any bonus, discount, commission, or reward earned or received illegitimately or outside our criteria.

8.24 Force Majeure

Where there is an outbreak of natural disaster, epidemic, pandemic, or major outage, you agree that we are not liable for any loss or damage you suffer due to force majeure.

8.25 Money Laundering

You are PROHIBITED from using our platform to perpetuate money laundering, illegal transaction, or other forms of financial fraud.

8.26 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be resolved through amicable negotiation. Where unresolved, the dispute shall be referred to mediation or arbitration in accordance with the Arbitration and Mediation Act 2023. The seat of arbitration shall be Abuja, Nigeria. Nothing in this clause prevents either party from seeking relief in a court of competent jurisdiction where necessary.

8.27 Severability

If any of the provisions of our Privacy Policy, Cookie Policy, or these Terms of Service shall be invalid or unenforceable, such invalidity or unenforceability shall not invalidate or render unenforceable the entire Privacy Policy, Cookie Policy, or these Terms of Service, but rather the entire Privacy Policy, Cookie Policy, or Terms of Service shall be construed as if not containing the particular invalid or unenforceable provision or provisions, and you agree that the rights of Churchera shall be construed and enforced accordingly, to effectuate the essential intent and purposes of our Privacy Policy, Cookie Policy, or Terms of Service.

8.28 Changes To These Terms of Service

We may update these Terms of Service to reflect changes in our practices or applicable laws. We will notify you of any material changes via any of our communication channels. Your continued use of our services after any updates or changes constitutes your awareness and acceptance of such changes and updates.

8.29 Governing Language

The governing language of these Terms of Service and all communications between Churchera and you shall be English Language. Where translation and interpretation are necessary, you agree that such translation and interpretation shall be done to retain, keep and convey the original meaning in English Language.

8.30 Agreement

By registering on Churchera, you acknowledge that you have fully read and understood these Terms of Service and you represent and warrant that the information you supply to us about you or the entity you represent is true and correct. You agree to enter into binding agreement with Churchera Innovation Limited. You can always visit www.churchera.com/terms to stay updated with our Terms of Service.

8.31 Communication Channels

If you have any question or concerns about these Terms of Service, us, or our services, please contact us via email: support@churchera.com, hello@churchera.com or visit www.churchera.com for other of our designated communication channels. We disclaim warranty of instant or automatic receipt of your complaint, email, message, or correspondence through any means. You agree that we are not liable for any action you undertake as a result of the information you receive through unauthorized channels, means, or unauthorized person claiming to be our representative. We strongly encourage you to thoroughly verify every information before you take action.

8.32 Governing Jurisdiction

The Federal High Court, Abuja, Nigeria shall have jurisdiction over matters arising from these Terms, subject to applicable dispute resolution provisions.

8.33 Governing Law

This Terms of Service shall be governed by, construed and enforced in accordance with the laws of the Federal Republic of Nigeria.
